Terms of the Agreement
According to a statement issued jointly by the American Lung Association (ALA) and the American Thoracic Society (ATS), terms of the split between the two organizations include these points:
• The ATS will become an independently incorporated organization as of Jan. 1, 2000.
• The ATS agrees to pay the ALA $11.1 million over the next 15 years.
• In exchange for that sum, the ATS purchases its name, the international ATS/ALA conference, two journals, dues and membership lists, subscription fees, and physical assets.
• In addition, the $8 million in ALA reserves are to remain with the ALA at the date of separation.
The two organizations "affirm their commitment to remain scientific and medical partners in the promotion of lung health," the statement notes. Accordingly, each organization agrees to continue representing the other on its board of directors, such that each will maintain two representatives on the other’s board, sharing a single vote.
The ATS will lease office space it now occupies in the ALA national headquarters in New York City.
